Welcome to Palm Roofing & Construction ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, www.palmroofingconstruction.com (the "Site"), and any roofing, construction, general contracting, consulting, estimates, proposals, inspections, communications, or services provided by Palm Roofing & Construction (collectively, the "Services").

These Terms apply to both residential and commercial customers.

By accessing the Site, requesting an estimate, engaging our Services, or communicating with us in any manner, you agree to be legally bound by these Terms. If you do not agree, you must not use the Site or our Services.

1. Eligibility & Authority

By using this Site or engaging our Services, you represent that:

  • You are at least 18 years old;

  • You have the legal authority to bind yourself or the entity you represent;

  • Any information you provide is accurate and truthful.

If you are acting on behalf of a company, HOA, association, or commercial entity, you represent that you are authorized to enter into agreements on its behalf.

2. Scope of Services

Palm Roofing & Construction provides roofing, re-roofing, roof repair, roof maintenance, general contracting, construction management, and related services in the State of Florida.

All Services are governed exclusively by a separate written contract, proposal, or work authorization signed by the parties. Nothing on this Site creates a binding agreement unless expressly stated in writing.

3. Estimates, Proposals & Pricing

  • All estimates, inspections, proposals, timelines, and pricing are non-binding and subject to change until reduced to a signed written agreement.

  • Pricing may change due to material costs, labor availability, site conditions, code requirements, permit issues, weather delays, design changes, or unforeseen conditions.

  • Verbal representations are not binding.

Palm Roofing & Construction is not responsible for assumptions made by clients based on preliminary estimates or marketing materials.

4. Scheduling, Delays & Force Majeure

Project schedules are estimates only. We are not liable for delays caused by circumstances beyond our control, including but not limited to weather events, hurricanes, acts of God, supply chain disruptions, labor shortages, permitting delays, inspections, utility issues, or governmental actions.

Such delays do not constitute breach of contract.

5. Client Responsibilities

Clients agree to:​

  • Provide accurate information regarding property conditions and access;

  • Secure valuables and personal property;

  • Ensure clear and safe access to the work area;

  • Obtain HOA, landlord, or third-party approvals when required;

  • Maintain adequate insurance coverage for the property.

​Palm Roofing & Construction is not responsible for damage resulting from undisclosed conditions, pre-existing defects, or failure to meet these responsibilities.

6. Permits, Codes & Compliance

Where required by contract, Palm Roofing & Construction will obtain applicable permits. However:​

  • We are not responsible for delays caused by permitting authorities;

  • Code interpretations may vary by jurisdiction;

  • Pre-existing code violations or structural deficiencies are excluded unless expressly included in writing.

7. Warranties & Disclaimers

Any workmanship or material warranties are governed solely by the written warranty documents provided with your signed agreement.​

Manufacturer warranties are subject to the manufacturer’s terms and conditions.​

EXCEPT AS EXPRESSLY PROVIDED IN WRITING, ALL SERVICES AND WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, PALM ROOFING & CONSTRUCTION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF USE, OR DIMINUTION IN PROPERTY VALUE.​

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID TO US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Palm Roofing & Construction, its owners, officers, employees, agents, subcontractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:​

  • Your use of the Site or Services;

  • Your violation of these Terms;

  • Property conditions not disclosed to us;

  • Third-party claims related to your project.​

10. Third-Party Materials & Subcontractors

Palm Roofing & Construction may use subcontractors and third-party suppliers. We are not responsible for manufacturer defects, supplier delays, or third-party acts beyond contractual obligations.

Links to third-party websites are provided for convenience only and are accessed at your own risk.

11. Intellectual Property

All Site content, including logos, text, images, videos, designs, and trademarks, are the exclusive property of Palm Roofing & Construction and may not be copied, reproduced, or used without prior written consent.

12. Termination

We reserve the right to refuse service, suspend work, or terminate access to the Site or Services for non-payment, unsafe conditions, misrepresentation, or violation of these Terms, subject to applicable contract provisions.

13. Dispute Resolution & Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute shall be resolved exclusively in the state or federal courts located in Florida. You waive any objection to venue or jurisdiction.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
